MTN Ghana will host shareholders at its fifth Annual General Meeting (AGM) on Tuesday, 30th May, 2023.
The meeting will be held at the Company’s Head office at MTN House, on the Independence Avenue and be streamed live from 11am.
A statement issued by the company said the meeting, “will among other things receive and consider the Audited Financial Statements together with the reports Directors and Auditors for the year ended 31st December 2022; declare a final dividend for the year ended 31 December 2022: approve the payment of Directors’ fees; and authorize the Directors to fix the remuneration of the Auditor for the financial year 2023.”
At the meeting, the Shareholders are expected to approve the payment of a final dividend of One Billion, Five Hundred and Twenty-Four Million, Eighteen Thousand, Eight Hundred and Twenty Chana Cedis, Sixty-four Pesewas (GHS1,524,018,820.64) for the Financial year 2022.
At the February 27, 2023 Board Meeting, the Directors resolved and declared a final dividend of the said amount for the Financial year 2022. Shareholders are by this resolution requested to approve the dividend recommended by the Directors.
It also noted that it will also meet to approve by special resolution the amendment of the Company’s Constitution to align with the Securities and Exchange Commission (SEC) Corporate Governance Code 2020 (“SEC Code”), the Chana Stock Exchange (GSE) Listing Rules (“GSE Rules”) and any other applicable by law.
